Terms of Service

These Terms of Service govern your access to and use of WatsGo, including its website, applications and related services.

By registering for an account, purchasing a subscription or using WatsGo, you agree to these Terms.

If you use WatsGo on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you must not use the service.

WatsGo is a business software platform that may provide the following features, depending on your plan and configuration:

• Product and inventory management
• Online store and product catalogues
• Smart Links for product discovery and purchasing
• Customer and lead management
• Order management
• Checkout workflows
• WhatsApp-related business integrations
• Configured reminders and communication workflows
• Reports and analytics

Features, usage limits and availability may vary by subscription plan. A feature is included only when it is available in your selected plan or separately agreed in writing.

You agree to provide accurate and up-to-date registration information. You are responsible for:

• Keeping your login credentials secure.
• Controlling access to your account.
• Assigning appropriate permissions to authorised users.
• Maintaining the accuracy of your account information.
• Informing us promptly about suspected unauthorised access.

You are responsible for activities carried out through your account, subject to applicable law.

WatsGo may provide free and paid subscription plans. Applicable subscription fees, billing periods, usage limits and included features will be displayed during purchase or specified in the relevant agreement.

Unless otherwise stated, subscriptions renew for the selected billing period until cancelled through the available cancellation process.

You authorise the applicable payment method to be charged for amounts due under your subscription. Applicable taxes, including GST, will be charged as required by law.

Third-party integration, messaging or payment-provider charges may be separate from WatsGo subscription fees.

Trial periods, promotional offers and special pricing are subject to the conditions displayed when the offer is made.

We may change subscription prices or features prospectively, subject to applicable law and any contractual commitments. Where required, we will notify you before changes take effect.

You may cancel your subscription using the cancellation method provided in your account or by contacting our support team.

Unless otherwise stated in the applicable offer or required by law, cancellation stops future renewals but does not automatically refund fees already paid for the current billing period.

Any refund will be governed by the terms displayed at purchase and applicable law. If you believe you have been charged incorrectly, contact our support team with the relevant billing details so that we can investigate.

You must not use WatsGo to:

• Conduct fraud or other unlawful activities.
• Send unlawful, deceptive, abusive or unauthorised communications.
• Violate another person's privacy or intellectual-property rights.
• Upload malware or attempt to compromise platform security.
• Gain unauthorised access to accounts, systems or data.
• Bypass subscription limits or security controls.
• Misuse third-party integrations.
• Distribute spam or engage in prohibited messaging practices.
• Interfere with the availability or proper operation of the service.

You must comply with applicable laws relating to data protection, consumer protection, e-commerce, taxation, advertising and electronic communications.

You retain your rights in the business information and customer data you submit to WatsGo.

You grant us permission to host, process, transmit, back up and display that information only as reasonably necessary to provide, secure and support the service and meet legal obligations.

You are responsible for ensuring that information submitted to WatsGo is accurate and lawfully collected. You must provide appropriate privacy notices, obtain necessary permissions and respond to customer requests where you are responsible for the relevant data.

Use of WhatsApp Business, Meta, payment gateways and other connected services is subject to the applicable third-party terms, policies and technical requirements.

You are responsible for:

• Maintaining authorised access to connected accounts.
• Obtaining required customer opt-ins.
• Respecting opt-out requests.
• Using approved templates where required.
• Ensuring your messages and campaigns comply with applicable laws and platform policies.

WatsGo does not guarantee third-party approval, message delivery, uninterrupted API access or the continued availability of external services. Third-party outages, policy changes or account restrictions may affect related functionality.

If you use WatsGo to showcase products, collect orders or connect payment services, you remain responsible for your business operations unless a separate written agreement states otherwise. This includes:

• Product descriptions and pricing
• Inventory accuracy and availability
• Applicable taxes and invoices
• Order acceptance and fulfilment
• Shipping and delivery
• Customer support
• Returns, cancellations and refunds
• Compliance with applicable laws

WatsGo provides software tools and does not become the seller of your products merely because you use the platform.

Payment status should be confirmed using the configured payment provider's verified records or authorised server-side notifications.

WatsGo, its software, branding, design, documentation and related materials are owned by Mercury Softech or its licensors and are protected by applicable law.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription period.

You must not copy, resell, distribute or exploit WatsGo intellectual property except where expressly permitted in writing or by law. You retain your rights in content and data that you submit.

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation unless a separate service-level agreement applies.

We may perform maintenance, update features, introduce reasonable technical limits or temporarily suspend functionality to protect security, maintain the service or comply with law.

Support availability and response times depend on the applicable plan or separate agreement.

We may restrict or suspend access where reasonably necessary due to non-payment, suspected fraud, security risks, unlawful activity, serious breach of these Terms, third-party platform requirements or legal obligations.

Where reasonable and legally permitted, we will provide notice and an opportunity to resolve the issue.

You may stop using WatsGo and cancel your subscription according to the applicable cancellation process. When access ends, you may lose access to stored data. Please export information you need before termination. Data may subsequently be deleted according to our retention practices and applicable legal requirements.

To the extent permitted by law, WatsGo is provided on an “as available” basis.

We do not guarantee that the service will meet every business requirement, generate specific revenue, prevent every abandoned checkout, guarantee message delivery or remain compatible with every third-party service.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Mercury Softech will not be liable for indirect, incidental, special or consequential losses, loss of profits, loss of business opportunities or loss of data arising from the use of WatsGo.

To the extent legally permitted, our aggregate liability for claims relating to the service will be limited to the fees paid by you to WatsGo during the three months immediately preceding the event giving rise to the claim.

This section does not limit liability that cannot legally be excluded or restricted.

To the extent permitted by law, you are responsible for claims and reasonable costs arising from your unlawful use of WatsGo, your products or services, your breach of these Terms or your violation of another person's rights, except to the extent caused by our own conduct or liability that cannot legally be shifted to you.

We may update these Terms to reflect changes to WatsGo, our business practices or applicable law. The revised Terms will be published on our website with an updated effective date. We will provide additional notice where required.

If you do not agree to a change, you should stop using the service and cancel your subscription before the change takes effect, subject to applicable law.

These Terms are governed by the laws of India, subject to applicable mandatory legal requirements. Courts with competent jurisdiction in Trichy, Tamil Nadu, India will have jurisdiction over disputes, subject to applicable law.
